| | BOARD OF DIRECTORS Our entire Board is elected annually. A majority voting standard is used to elect all directors. Our Board is comprised entirely of independent directors, except for our Executive Chairman and our President and Chief Executive Officer. We have an independent Lead Director with clearly delineated and comprehensive duties and responsibilities. We maintain a director retirement age of 72. We require directors who undergo a significant change in their principal employment to offer their resignation to the Nominating and Governance Committee for its consideration.
